These Terms of Use (“Terms”) govern your access to and use of the Flexibl website, platform, and related services (collectively, the “Platform”). Flexibl (“we”, “us”, “our”) operates a data-analytic SaaS solution that aggregates and normalizes payment-related data from third-party payment processors and software tools. Flexibl does not process or move funds.These Terms form a legally binding agreement between Flexibl and any business entity or authorized user accessing the Platform (“Customer”, “you”).If you do not agree with these Terms, you may not access or use the Platform.1. Access to the Platform1.1 Authorized Users OnlyAccess is limited to business customers who have entered into a separate SaaS Agreement with Flexibl and have been granted access credentials. All accounts are created or invited manually by Flexibl.1.2 Accuracy of InformationYou agree to provide accurate information during onboarding and to ensure the security of all credentials issued by Flexibl.1.3 Permitted UseYou may use the Platform solely for internal business purposes and in accordance with these Terms and your SaaS Agreement.2. Nature of the Service2.1 Analytics-Only RoleFlexibl aggregates and analyzes transaction and payment-related data from external systems. Flexibl does not process payments, move funds, or act as a payment service provider.2.2 Third-Party IntegrationsFlexibl connects to third-party payment processors, software systems, and data sources (“Third-Party Services”).We do not control and are not responsible for any Third-Party Services.2.3 No Financial, Accounting, or Legal AdviceAll insights, dashboards, and analytics are informational only and do not constitute financial, accounting, tax, or legal advice.3. Customer ResponsibilitiesYou agree to:Ensure you have the legal right to connect your data sources to FlexiblComply with all applicable laws and third-party service agreementsMaintain the confidentiality and security of your credentialsEnsure your use of the Platform does not violate any rights of third parties4. Data4.1 Transaction-Only DataFlexibl receives and analyzes non-personal, transaction-level data (amounts, timestamps, fees, payouts, performance metrics). Flexibl does not require or store identifiable personal data from end-customers.4.2 Data AccuracyFlexibl relies on data provided by Third-Party Services. We do not guarantee the accuracy, completeness, or timeliness of such data.4.3 Data SecurityWe implement commercially reasonable technical and administrative safeguards to protect Customer Data.5. Intellectual PropertyAll intellectual property rights in and to the Platform, including software, dashboards, algorithms, and documentation, are owned by Flexibl or its licensors.No rights are granted to you except as expressly set out in these Terms or your SaaS Agreement.6. Fees and PaymentsFees, billing terms, and renewals are governed by the separate SaaS Agreement between Flexibl and the Customer.Your access to the Platform is subject to timely payment of all applicable fees.7. Prohibited ActivitiesYou may not:Reverse engineer, copy, or modify the PlatformUse the Platform to perform competitive analysis or benchmarking of Flexibl or its services (but you may use your own data within the Platform for internal benchmarking and analytics purposes).Use automated tools (bots, scrapers) without permissionAttempt to circumvent security or access controlsUse the Platform in violation of laws or third-party rights8. DisclaimersTo the maximum extent permitted by law:The Platform is provided on an “as is” and “as available” basisFlexibl makes no warranties, express or impliedFlexibl does not warrant that the Platform will be uninterrupted, error-free, or that analytics will be accurate or complete9. Limitation of LiabilityTo the maximum extent permitted by law:Flexibl’s total liability for all claims relating to the Platform is limited to the fees paid by the Customer in the 12 months preceding the event giving rise to the claimFlexibl will not be liable for any indirect, consequential, punitive, or special damages, including lost profits, lost data, or business interruptionFlexibl has no liability arising from any errors or failures in data originating from Third-Party ServicesThese limitations apply whether claims arise in contract, tort, or otherwise.10. TerminationFlexibl may suspend or terminate access to the Platform if:The Customer fails to pay applicable feesThe Customer breaches these TermsRequired by law or to protect the integrity of the PlatformUpon termination, Sections 5, 8, 9, 11, and 12 survive.11. Governing LawThese Terms are governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to conflicts of law principles.Any dispute must be brought before the competent courts of Montreal, Quebec, and the parties irrevocably submit to such jurisdiction.12. Changes to These TermsFlexibl may update these Terms from time to time. Updates become effective upon posting on the website.
